Launch of a capital increase by Adeunis

Adeunis announces a capital increase of approximately 1 million euros. The transaction aims to integrate Webdyn's current account advance into the capital and to finance the company's working capital needs. It will take the form of the issue of 2,297,770 new shares at a unit price of 0.45 euros, with a subscription parity of 1 for 1.

The preferential subscription rights (DPS) will be available from February 12, 2025. The subscription period runs from February 14 to 21, 2025. Webdyn, the majority shareholder, guaranteed the transaction. The objective is to strengthen Adeunis' equity and ensure stable liquidity of the shares.

Dilution may impact non-subscribing shareholders. In addition, the volatility of DPS is to be considered for this transaction listed on Euronext Growth Paris.
