Simplified Merger: Novaagro Ukraine Takes Over AgroGeneration
On August 26, 2025, AgroGeneration filed a draft response note in response to the simplified tender offer initiated by Novaagro Ukraine LLC. This transaction, subject to AMF approval, aims to acquire the non-owned shares of AgroGeneration.
Novaagro Ukraine, having acquired a 56.90% stake in October 2024, is offering a price of €0.033 per share. The offer covers the remaining 43.10% of the available shares. AgroGeneration's Board of Directors appointed an independent expert to assess the financial fairness of this offer, concluding that it was fair.
AgroGeneration, with 30,000 hectares under cultivation in Ukraine, sees this offer as a strategic continuation, with no immediate intention of delisting. The board recommends shareholders accept this proposal. The offer is expected to provide liquidity to shares that are still little traded.
