Patria Genossenschaft Acquires Significant Stake in Baloise from Cevian Capital
On April 25, 2025, Patria Genossenschaft announced the acquisition of 4,282,758 shares in Baloise Holding Ltd from Cevian Capital. This transaction represents 9.351% of Baloise’s capital and voting rights. Following this acquisition, Robert Schuchna will not stand for election at Baloise's Annual General Meeting today.
The acquisition terms are unconditional, but the purchase price remains undisclosed. Patria Genossenschaft will now possess the voting rights needed for the Extraordinary General Meeting on May 23, 2025, where the merger with Helvetia will be discussed. Baloise will not propose a seventh director for the merger, resulting in a Board of 13 members post-merger.
