Commerzbank Acknowledges UniCredit's Unsolicited Takeover Offer
Commerzbank AG has noted the publication of an offer document from UniCredit S.p.A. regarding a proposed takeover. The terms remain unchanged from an earlier announcement: UniCredit proposes exchanging 0.485 of its shares for each Commerzbank share. This equates to approximately €31.07 per share, based on UniCredit's closing price on 4 May 2026. However, this offer represents a discount of 8.7% to Commerzbank's prior closing price of €34.02.
The Board of Managing Directors and the Supervisory Board at Commerzbank will evaluate the offer and release a reasoned opinion as per the German Securities Acquisition and Takeover Act. On 8 May 2026, Commerzbank is set to reveal its quarterly results along with a strategic update extending to 2030.
