BeMetals to Acquire Projects from Prospector Metals

BeMetals Corp. has signed an agreement to acquire non-Yukon mineral exploration projects from Prospector Metals Corp. in exchange for 29,400,000 shares. This move aims to create a Canadian-focused exploration company. The new entity will actively explore its portfolio, pursuing additional acquisitions under the interim leadership of Rob Carpenter.

The acquisition will position BeMetals as a Canadian-focused explorer with a strong project portfolio. It aims to enhance shareholder value by combining experienced leadership teams. B2Gold Corp. will remain a significant shareholder, owning 28.4% of the new company, Lightning Resource Corp.

Following the transaction, BeMetals will consolidate its shares and undergo a name change to Lightning Resource Corp. The board will include members from both BeMetals and Prospector, with Clive Johnson expected to join later this year.
