Biotest AG Schedules Extraordinary General Meeting for Legal Form Change
Biotest AG has announced the convening of an extraordinary general meeting, requested by Grifols S.A., set for 28 October 2025. This meeting aims to discuss the transition of Biotest's legal structure to a partnership limited by shares, known as KGaA. Following a request from Grifols received on 1 August 2025, the Management and Supervisory Boards have decided to proceed, publishing details in the Federal Gazette and online.
The change entails rebranding Biotest AG as Biotest GmbH & Co. KGaA, with Biotest Management GmbH as the general partner. Shareholder participation remains unchanged, with current shares converted at a 1:1 ratio. The agenda will also include additional items proposed for voting.
Since May 2022, Biotest has been part of the Grifols Group. This development marks another strategic step for the integration of Biotest into Grifols' broader corporate structure.
