Capella Financing Announces Settlement Agreement with Hellenic Bank

Capella Financing S.à.r.l., a Luxembourg-based company, has announced a settlement agreement with Hellenic Bank Public Company Limited. The agreement, dated 4 July 2025, involves Themis Portfolio (S1) Management Holdings Limited and Hemeras RAIF V.C.I.C. Ltd, key stakeholders in the transaction.

The settlement addresses potential claims related to agreements signed on 8 April 2022 and amended multiple times, most recently on 20 March 2024. The involved parties have agreed to a resolution, concluded under the Sale and Purchase Agreement.

The settlement concerns the outstanding EUR 229.5 million Class A Notes, EUR 114.5 million Class B Notes, and EUR 442.7 million Class Z Notes, all due on 31 January 2054. Full details have been disclosed on the Citidirect reporting website.
