EMOVA GROUP: Termination of a shareholders' agreement

On December 4, 2025, EMOVA GROUP announced the termination of a shareholders' agreement. This change follows notification from the majority shareholders, EMOVA HOLDING and FPS MATIGNON INNOVATION. The initial agreement was established on July 29, 2016, but expired on November 28, 2025. This decision is linked to changes in shareholdings following a capital increase in September 2025, which reduced EMOVA HOLDING's stake below 50% of the voting rights.

At the end of the agreement, EMOVA HOLDING held 41.46% of the share capital and 48.79% of the voting rights, while FPS MATIGNON INNOVATION held 30.82% of the share capital and 24.24% of the voting rights. These shares have been declared to the French Financial Markets Authority (AMF). The company's next earnings release is scheduled for January 30, 2026.
