Extension of the memorandum of understanding between Transition Evergreen and Zencap

On February 2, 2026, Transition Evergreen announced the extension of its memorandum of understanding with Zencap Asset Management. This initial agreement, signed on December 5, 2025, required a reorganization authorized by a judge on January 7, 2026. Initially scheduled to be finalized on January 31, 2026, its completion was contingent upon the fulfillment of several conditions.

On January 30, 2026, an amendment extended the deadline to February 27, 2026. The aim is to remove the conditions precedent, some of which require third-party approval for certain transactions. Transition Evergreen will provide further information via a press release.
