Appointment of an expert for the public buyout offer at Gaumont

Following the ruling by the Paris Court of Appeal, Ciné Par and Gaumont announce the appointment of Sonia Bonnet-Bernard of the firm A2EF as an independent expert. This decision is part of a public delisting offer (OPR) mandated by the AMF (French Financial Markets Authority) in October 2025. The offer concerns Gaumont shares not held by Ciné Par and the Seydoux Family Group, comprised of Nicolas Seydoux and his associates.

The Independent Expert will prepare a report on the financial terms of the tender offer, in accordance with the AMF's regulations. This proposal will be reviewed by an ad hoc committee composed of independent Gaumont directors. The findings will influence the reasoned opinion to be published by the Board of Directors, determining the impacts for the company and its stakeholders.
