Voltz Seeds: Signing of the Dutreil Pact for the Preservation of Shares

On December 19, 2025, certain shareholders of Graines Voltz signed a Dutreil Pact. This pact concerns the commitments to retain the company's shares in connection with the donations made by Serge Voltz. The beneficiaries include his children, his wife, and Hugo Bony, through the company Albatros, which holds 57.06% of Graines Voltz's capital. This transaction received an exemption from the French Financial Markets Authority (AMF), thus avoiding the requirement to file a mandatory public tender offer.

In accordance with regulations, the agreement collectively commits 57.07% of the share capital and voting rights for two years. The main signatories include Serge Voltz and Hugo Bony, who hold management positions, and Albatros, a company with a significant stake in the company.
