Groupe ADP Sells Shares in GMR Airports Ltd to GMR Group
Tremblay-en-France, 23 April 2026 – Groupe ADP has inked agreements to offload a 3.4% stake in GMR Airports Ltd (GAL) to GMR Group, with an option for a further 3.9% sale. This deal could yield approximately €924 million. The Aéroports de Paris Board proposes a special €0.8 per share dividend for 2025.
The agreements outline three steps: a current sale of 3.4% equity for €256 million; options to sell additional stakes no later than April 2027; and early repurchase of convertible bonds by GMR Group, worth €301 million plus interest.
ADP's governance and promoter status in GAL remain intact, enhancing partnership potential without extra capital. This is part of ADP's strategy to optimize international asset contributions, allowing value realization while maintaining investment exposure.
The special dividend aligns with ADP's balanced approach to shareholder returns and operational expansion funding.
