European Commission Clears Fnac Darty Takeover by EP Group
Fnac Darty and EP FR HOLDCo, controlled by EP Group, have secured merger control clearance from the European Commission for the acquisition of Fnac Darty. This approval marks the final consent needed for the transaction, clearing the path for the tender offer's completion. The French Financial Markets Authority (AMF) will soon announce the final timetable, including the offer's closing date in early November 2026.
The offer is priced at €35 per share and €81.161 per OCEANE. It received AMF approval in May 2026. Fnac Darty's Board of Directors recommended the offer, with an independent expert confirming its fairness. Relevant documents are accessible on Fnac Darty’s and AMF's websites.
