Gryphon Digital Mining, Inc., a prominent player in Bitcoin mining, has announced a merger with American Bitcoin Corp. The merger is structured as a stock-for-stock transaction, with the combined company to be listed on Nasdaq under the ticker "ABTC."
Steve Gutterman, CEO of Gryphon, expressed optimism about the merger's potential to advance Bitcoin mining. The merger includes the leadership of American Bitcoin, promising robust growth in the industry. American Bitcoin itself was launched by Hut 8 Corp. earlier this year, aiming to create efficient and large-scale Bitcoin mining operations in partnership with Eric Trump.
The transaction is expected to be completed by the third quarter of 2025, pending stockholder approvals. Gryphon stockholders will hold approximately 2% in the merged entity, signaling a significant shift in ownership dynamics.
