Highlight Communications AG Plans Structural Changes with New Investor

Highlight Communications AG has announced potential changes within its group structure through its majority shareholder, Highlight Event and Entertainment AG (HLEE). This development involves a CHF 300 million equity investment by CSL Mindset Ltd., potentially leading to the latter gaining a majority stake in HLEE.

The arrangement includes a commitment letter signed between HLEE, its major shareholders, and CSL Mindset, a company linked to the Clementy Schuman Legacy Foundation. The investment aims to bolster HLEE's financial health by enhancing its equity, reducing liabilities, and optimizing its group structure.

The transaction's completion hinges on several factors, such as the establishment of a relationship agreement and approvals from regulatory and corporate bodies. Additionally, approval from the Swiss Takeover Board concerning amendments to HLEE's articles of association is necessary.
