InTiCa Systems SE to Issue Bond with Warrants
InTiCa Systems SE has announced the issuance of a bond with warrants worth EUR 3,088,000. The bond will consist of 3,088 bearer notes, each valued at EUR 1,000, accompanied by 666 detachable warrants per note. The bond bears an interest rate of 4.00% over a seven-year term.
Scheduled for issuance in November 2026, each warrant allows subscription for a share at an exercise price of EUR 1.50. A subscription offer will be available to shareholders in October/November, with a ratio of 1,367:1.
Core shareholders PRINTad Verlags-GmbH and Global Derivative Trading GmbH have agreed to fully subscribe and backstop unsubscribed notes. Proceeds will bolster equity and fund new capital goods and equipment.
BankM AG will manage the transaction, aimed at supporting InTiCa's transformation drive.
