Justera Health Ltd. Signs LOI to Acquire Babbage Mining Co.

On January 29, 2025, Justera Health Ltd. announced the signing of a non-binding letter of intent (LOI) to acquire Babbage Mining Co. This transaction aims to enhance Justera's capabilities by allowing acceptance of cryptocurrencies, including Bitcoin and Ethereum. Babbage Mining, a proof-of-stake mining operation, holds custodian accounts with Coinbase.

The transaction involves the issuance of 12 million common shares of Justera at $0.02 each, with a 1% royalty. This acquisition is subject to regulatory and board approvals in accordance with Canadian Securities Exchange (CSE) policies.

The completion of the transaction is contingent on regulatory approvals and customary conditions. Justera, based in Canada, actively participates in healthcare, pharmaceuticals, and recently, the cannabis sectors.
