Clariane Offers €500 Million of Senior Notes for Debt Refinancing

On September 7, 2026, Clariane announced its plan to offer €500 million in senior notes due in 2032 to refinance part of its current debts. The offering aims to repay a €350 million term loan and a €150 million real estate loan. Completion hinges on market conditions. Clariane has arranged a new €700 million revolving credit facility, pending the offering's completion, to replace its existing agreement. This facility includes an ESG-linked adjustment and a financial covenant on the total net leverage.

Clariane's new credit facility will allow drawdowns at a floating rate tied to the company's net leverage, with potential increased amounts up to €900 million. Restrictions on annual dividend distributions are also included. The notes are offered under Regulation S outside the U.S., reflecting market sensitivity and regulatory requirements.
