2025 Kudelski SA Annual General Meeting Outcomes
The Kudelski Group announced that all board proposals were approved by a substantial majority during its Annual General Meeting held in Cheseaux-sur-Lausanne on April 17, 2025. Out of 97,751,506 shares, 64,581,998 were represented by 60 shareholders.
Shareholders accepted the 2024 annual report, financial statements, consolidated accounts, profit allocation, and non-financial report. They endorsed the compensation and discharged the Board and Executive Board for 2024. Mrs. Marguerite Kudelski alongside Messrs. Laurent Dassault, Patrick Foetisch, Michael Hengartner, André Kudelski, Pierre Lescure, Alec Ross, and Claude Smadja were reappointed to the Board for one year, with André Kudelski reconfirmed as Chairman.
The Remuneration and Nomination Committee, including Messrs. Foetisch, Lescure, Ross, and Smadja, was re-elected for another year. PricewaterhouseCoopers SA remains the audit firm, and Ofisa Berney Associés SA was chosen as the independent representative, each for one year.
