Amendment to the capital increase of Leclanché SA

Leclanché SA announced on July 29, 2025, an amendment to its proposed capital increase, scheduled for the Annual General Meeting of August 5, 2025. This amendment relates to item 8.2 of the agenda, with a revision of the financial terms linked to the convertible loan agreements with SEF.

The company proposes to increase its share capital by CHF 11,287,676.20, reaching a maximum of CHF 113,829,974.60. This transaction is carried out by offsetting receivables, without issuing additional shares. The issue price of these shares will be determined between CHF 0.15564 and CHF 0.15987.

Shareholders are asked to approve this proposal, which is considered essential to improve Leclanché's financial structure. These adjustments do not weaken investors' current economic positions and reflect the terms of the existing convertible loans.
