Medios AG Acquires Majority Stake in Caelo, Enters German APIs Market

Medios AG has announced its acquisition of a 74% stake in Caesar & Loretz GmbH (Caelo), marking its entry into the German market for active pharmaceutical ingredients (APIs) and excipients. Caelo, based in Hilden, is a significant supplier of APIs and expects approximately €40 million in revenue for the current fiscal year. This move provides Medios with a foundation for a European platform dedicated to Compounding Essentials.

The purchase, financed by debt, is contingent on Caelo’s future performance, with the price in the upper single-digit million euro range. Medios and Caelo agreed on put and call options for the remaining 26% of shares, ensuring full consolidation upon transaction completion. Expected in Q4 2026, the acquisition aligns with Medios' strategic growth while maintaining the fiscal forecast for 2026.
