Nextech3D.ai Updates on ARway Acquisition

Nextech3D.ai, a company focused on AI-driven event technology and 3D modeling, has issued an update on its acquisition of ARway Corporation's remaining shares. The definitive agreement outlines the terms in which Nextech will acquire all outstanding ARway shares through a three-cornered amalgamation. Shareholders of ARway will receive Nextech shares on a pro rata basis, with an exchange ratio of 0.5141388221 Nextech shares for each ARway share.

Following the execution of the agreement, Nextech and ARway received final fairness opinions confirming conditions for transaction completion. Adjustments to the transaction valuation since the initial July announcement place ARway's implied equity value at C$2,548,789, comprising 38,641,161 shares at a price of C$0.065960. Nextech's valuation is at C$33,206,763 for 236,660,791 shares.
