OCI Global's Shareholders Approve Orascom Construction Combination
OCI N.V. ("OCI") announced the approval of all resolutions related to its merger with Orascom Construction PLC. The company's shareholders, including minority stakeholders, voted in favor at the Extraordinary General Meeting (EGM). Euronext Amsterdam has approved OCI's delisting effective 27 November 2026.
The timeline for the business combination, which remains tentative, includes a final trading date for OCI shares on 26 November 2026. OCI aims to commence distribution of Orascom Construction shares to eligible shareholders around 8 December 2026, contingent on various regulatory approvals.
OCI will fund a Dutch dividend withholding tax through the sale of some OC Shares. Shareholders are encouraged to ensure that their settlement information is complete to receive Orascom shares timely. Any changes to the timeline will be communicated through subsequent press releases.
