ShelfieTech Amends Acquisition Terms with Aspect Information Systems
ShelfieTech Ltd. has announced amendments to its acquisition agreement of Aspect Information Systems Ltd. The acquisition is set to close around November 4, 2026, with ShelfieTech holding a 70% stake in Aspect. The updated terms include a total payment of US$1,582,140 to Aspect's sole shareholder, involving US$1,232,140 in cash and 269,231 Shelfie shares valued at US$350,000.
ShelfieTech will also provide a US$595,000 convertible loan to Aspect, replacing a previous commitment of US$850,000. The loan will be partially disbursed at closing, with full disbursement by January 31, 2027. The loan matures on January 1, 2031, or earlier if the Aspect shareholder sells their stake.
Additionally, ShelfieTech will pay a cash finder's fee to Rafael Yam and handle legal fees related to the transaction. The acquisition remains significant under Canadian Securities regulations.
