Enapter AG Restructures with Patrimonium to Discharge EUR 26 Million Debt

Enapter AG has announced a strategic agreement with Patrimonium to discharge corporate bond liabilities of approximately EUR 26 million. This decision is part of a broader realignment to an asset-light business model. The strategy involves transitioning most industrial manufacturing to partners in China and the USA while retaining core chemical manufacturing at its Pisa site. This shift aims to reduce fixed costs while enhancing scalability.

The company plans to expand its product portfolio with the inclusion of alkaline electrolysers, allowing it to cater to projects ranging from kilowatt to gigawatt scales. As part of the agreement, Patrimonium will manage the future leasing or sale of the Enapter Campus, thus eliminating EUR 300,000 monthly interest expenses.

To support these changes, major shareholders provide bridge financing of EUR 3 million. Additionally, a strategic partner aims to invest EUR 10–12 million by the second half of 2026. This move aligns with Enapter’s focus on research, development, and service.
