SoftwareOne Finalizes Crayon Share Acquisition
SoftwareOne Holding AG, a prominent software and cloud solutions provider, has announced the final outcome of its voluntary share and cash offer for Crayon. The offer was accepted for 91.6% of Crayon’s share capital by the end of the extended offer period. This consisted of 75,749,590 shares, combined with the 6,259,613 shares already controlled by SoftwareOne.
The offer proposed a payment of NOK 69 in cash and 0.8233 newly issued SoftwareOne shares per Crayon share. The transaction is anticipated to conclude in June 2025, pending regulatory approvals. Following successful completion, SoftwareOne plans to acquire the remaining Crayon shares through a compulsory acquisition process.
Crayon's integration is advised by financial and legal advisors from both companies, ensuring a smooth transaction process.
