Stillwater Critical Minerals Announces Brokered Offering
Stillwater Critical Minerals Corp. has announced an agreement with Red Cloud Securities Inc. for a private placement of up to 26,086,956 units at C$0.23 per unit, targeting gross proceeds of up to C$6 million. Each unit includes one common share and a half warrant, allowing purchase of an additional share at C$0.34 within 36 months.
Glencore Canada Corporation plans to exercise its pro-rata equity participation rights. The funds will finance exploration and advancement of the Stillwater West project in Montana.
The offering, managed by Red Cloud as sole agent, will pay a 6% commission on gross proceeds, with reduced rates for select investors. Completion is expected around June 25, 2025, pending regulatory approvals.
