Torq Resources Completes $1.7 Million Private Placement

On September 16, 2026, Torq Resources Inc. announced the successful completion of its private placement, raising C$1,700,191.20. The placement involved 34,003,824 units sold at C$0.05 per unit. Each unit includes one common share and a warrant to buy an additional share at C$0.10 until September 16, 2029. Gold Fields Atacama Holdings Inc. participated in the placement, investing C$170,191.20.

In line with the transaction, Torq paid finder's fees, including C$29,700.00 in cash and 594,000 non-transferable warrants, enabling the purchase of shares at C$0.10 until 2029. Despite the related party nature of the Gold Fields transaction, exemptions under MI 61-101 were applicable.

Shares issued under this placement are subject to a hold period in Canada until January 17, 2027.
