TDK launches public takeover bid for Tronic's Microsystems

On July 9, 2025, TDK Electronics AG, a subsidiary of TDK, announced its intention to launch a public buyout offer followed by a squeeze-out on the shares of Tronic's Microsystems. TDK, which already holds 87.34% of the shares, jointly with Thales AVS France SAS, controls 97.44% of the capital. The offer, set at €5.56 per share, aims to acquire the remaining 2.56%.

This transaction is part of a strategy to simplify the capital structure and aims to delist Tronic's from Euronext Growth Paris. This would reduce listing costs. TDK also plans to recapitalize Tronic's up to €7 million before March 2026. An independent expert will be appointed to assess the offer in accordance with AMF regulations.
