2025 capital increase at Wendel: opportunity for employees

Wendel, a company listed on Euronext Paris, announces a capital increase reserved for its employees. On May 15, 2025, the General Meeting authorized the Executive Board to increase the share capital by a maximum nominal amount of €200,000. This transaction is exclusively intended for members of Wendel's Group and International Savings Plans, via the "Relais Wendel 2025" FCPE.

The transaction aims to promote employee shareholding. A total of 50,000 shares, with a par value of €4, will be issued at a subscription price of €59.89, after a 30% discount. The shares will carry current dividend rights and will be assimilated to existing shares upon their creation.

This capital increase allows employees to participate in Wendel's growth, with a company contribution reaching 200% of voluntary contributions. The subscription period runs from June 20 to 30, 2025, with completion expected on July 28, 2025.
