Wolford AG Concludes New Share Offering

Wolford AG has announced the outcome of its recent subscription offer, held between May 22 and June 5, 2025. A total of 5,214,781 new shares were allocated during this period. The majority of these shares, approximately 99.9%, have been assigned to FFG Wisdom (Luxembourg) S.à.r.l.

The company plans to submit an application to register the capital increase with the Regional Court of Feldkirch around June 11, 2025. This capital increase is part of Wolford AG's strategic financial maneuvers. It's important to note that the public offering was limited to Austria, adhering to the regulations of the Prospectus Regulation.

The new shares are not registered under the U.S. Securities Act, with no intentions of expanding this offering to the United States or other countries outside Austria.
