PAUL Tech AG supports alternative noteholder proposal for the extension of the term of the EUR 35 million notes
Mannheim, 20 October 2026 – PAUL Tech AG as issuer ("Issuer") of the EUR 35m 7.00% / 9.00% notes 2020/2026 (ISIN: DE000A3H2TU8 / WKN: A3H2TU; the "Notes") today received from a noteholder a request to add additional items to the agenda ("Request for Additional Resolution Items") for the announced noteholders’ meeting on 26 October 2026 concerning the Notes ("Noteholders’ Meeting"). The Request for Additional Resolution Items will shortly be published on the website of the Issuer (https://ir.paul.tech/anleihe) and as soon as possible also in the Federal Gazette (Bundesanzeiger).
The Request for Additional Resolution Items concerns a vote on an alternative proposal to extend the term of the Notes, with the following key points:
- Extension of the term of the Notes until 1 September 2028
- Redemption of the Notes at 108% of their nominal amount at maturity
- Increase in the interest rate of the Notes to 10% p.a. effective 1 December 2026, with semi-annual payments
- Mandatory pro-rata partial early redemptions
- Obligation on the Issuer to use at least 50% of any new equity capital raised in the future, starting at a minimum threshold of EUR 30 million, to repay the Notes
- Creation of a security interest over approx. 7.5% of the Issuer’s share capital in favor of the noteholders by the Issuer’s majority shareholder
- Appointment of a Joint Representative of the noteholders
The agenda for the Noteholders’ Meeting is amended accordingly, and the alternative proposal will be put to a vote.
The Issuer has already received declarations from noteholders who collectively hold more than 50% of the outstanding nominal amount of the Notes, stating their intention to approve the alternative extension proposal at the Noteholders’ Meeting.
The Issuer has reviewed the Request for Additional Resolution Items and will support the alternative extension proposal. Such consent from the Issuer is required before the proposal can be implemented following an effective resolution by the Noteholders’ Meeting in accordance with the provisions of the German Bond Act (Schuldverschreibungsgesetz).
