(TSXV:GPUS)(OTCQB:GPUSF)(FSE:1R61, WKN:A428RQ) ("Alset AI" or the "Company"), announces a non-brokered private placement offering (the "Offering") of a minimum of 3,250,000 units and a maximum of 4,000,000 units of the Company (each, a "Unit") at a purchase price of $0.20 per Unit for minimum aggregate gross proceeds of $650,000 and maximum aggregate gross proceeds of $800,000. The Units will be issued pursuant to the listed issuer financing exemption under Part 5A of National Instrument 45-106 - Prospectus Exemptions ("NI 45-106"), together with the exemptions provided under Coordinated Blanket Order 45-935 - Exemptions from Certain Conditions of the Listed Issuer Financing Exemption (collectively, the "Listed Issuer Financing Exemption").

The Offering is expected to close on or about November 23, 2026 (the "Closing Date"), and may close in one or more tranches. The final closing will occur no later than 45 days after the issuance and filing of this news release. The Company will not complete the first closing unless the minimum Offering of $650,000 has been subscribed for and the Company reasonably believes that its available funds will meet its business objectives and liquidity requirements for the 12 months following the distribution. Completion of the Offering is subject to customary conditions, including receipt of all necessary regulatory approvals and approval of the TSX Venture Exchange (the "TSXV"). There can be no assurance that the Offering will be completed on the terms set out herein, or at all.
Subject to compliance with applicable regulatory requirements and in accordance with the Listed Issuer Financing Exemption in NI 45-106, the Units will be offered for sale to purchasers resident in Canada, except Québec, and other qualifying jurisdictions. Subject to the rules and policies of the TSXV, the securities issued in the Offering pursuant to the Listed Issuer Financing Exemption will not be subject to a hold period pursuant to applicable Canadian securities laws.
